Supplier Terms

الإصدار 1

مسودة — غير سارية بعد

Karat's standard terms of purchase for goods and services (tyres, fuel, parts, transport, storage, catering, media and similar). They apply to every Karat purchase order unless a signed contract says otherwise. Print them on, or link them from, every purchase order.

1. Orders

  1. A contract is formed when the Supplier accepts a Karat purchase order or starts work on it. These terms apply instead of the Supplier's own terms.
  2. Karat may change or cancel an order before dispatch or before work starts without charge; after that, Karat pays only for costs the Supplier has reasonably incurred and cannot recover.

2. Goods

  1. Goods must match the order and specification, be of satisfactory quality, fit for their stated purpose, and meet all UK safety and motorsport rules that apply (for example homologated tyres and safety equipment with valid certification).
  2. Delivery is to the address and on the date in the order. Time of delivery matters: late delivery for a test day may let Karat cancel the order without charge.
  3. Ownership and risk pass to Karat on delivery. Karat may reject goods that do not conform within [14] days of delivery or of a defect becoming apparent.

3. Services

  1. Services are carried out with reasonable skill and care, by suitably qualified people, on the dates agreed.
  2. On circuit premises the Supplier follows the circuit's and Karat's safety rules.

4. Price and payment

  1. The price is as in the purchase order and includes packaging and delivery unless stated.
  2. The Supplier invoices after delivery or completion, quoting the purchase order number. Karat pays valid invoices within [30] days.

5. Insurance and liability

  1. The Supplier holds public and product liability insurance of at least £[2,000,000] [and goods-in-transit cover for transport suppliers].
  2. The Supplier is responsible for losses caused by defective goods or services, subject to the law. Nothing limits liability for death or personal injury caused by negligence or for fraud.

6. Confidentiality and data

The Supplier keeps Karat's information confidential and uses any personal data received only to fulfil the order, in line with UK GDPR.

7. Conduct

The Supplier complies with the Bribery Act 2010 and the Modern Slavery Act 2015.

8. General

Governed by the law of England and Wales; the courts of England and Wales have jurisdiction.
